By accessing or using the services provided by Arising Bot, you agree to comply with and be bound by the following Terms and Conditions. These terms govern the relationship between Arising Bot and its clients regarding the delivery of digital products, software development services, and consulting engagements.
1. Services
Arising Bot provides web development, mobile application development, software engineering, e-commerce solutions, and related IT consulting services based on a mutually agreed project scope, deliverables, and timeline.
2. Payments & Milestones
Payments must be made according to agreed milestones or installment schedules. Delayed payments may result in project pauses, delayed delivery, suspension of work, or termination of services until outstanding balances are cleared.
3. Intellectual Property
Ownership of the final deliverables is transferred to the client only after full and final payment has been received. Arising Bot retains the right to showcase completed projects, screenshots, case studies, and publicly available work in its portfolio and marketing materials unless otherwise agreed in writing.
4. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary, business, technical, and financial information shared during the course of a project. Non-Disclosure Agreements (NDAs) may be executed upon request.
5. Limitation of Liability
Arising Bot shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from the use of its services. Liability, if any, shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
6. Force Majeure
Arising Bot shall not be held responsible for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, cyber incidents, third-party service failures, labor disputes, or acts of war.
7. Termination
Either party may terminate an agreement in writing. Completed milestones, approved deliverables, and work already performed remain payable. Refund eligibility, where applicable, shall be governed by the Refund Policy.
8. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India.
